Terms of Service
1. Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the Not a Wedding Crasher website, applications, technology platform, communications, and related services (collectively, the “Platform”) operated by Caballo Ventures LLC (“Caballo Ventures,” “Not a Wedding Crasher,” “NAWC,” “we,” “us,” or “our”).
By accessing the Platform, creating an account, submitting a wedding listing, requesting a seat, making or receiving a payment, communicating with another user through the Platform, or otherwise using the Platform, you agree to be bound by these Terms, our Privacy Policy, our Code of Conduct, and any other policies, rules, guidelines, or disclosures we make available through the Platform. These Terms also incorporate, as applicable, any Host Certification and Listing Authorization, Guest Event Waiver, Fee, Payment, Cancellation, and Refund Disclosures, event-specific rules, checkout disclosures, electronic communications consent, and other supplemental terms or acknowledgments presented through the Platform. If you do not agree, you may not use the Platform.
If you use the Platform on behalf of an entity, organization, couple, wedding party, venue, or other person, you represent that you have authority to bind that person or entity to these Terms.
2. Definitions
- Guest — A user who browses wedding listings, creates a profile, requests a seat, is approved to attend a wedding, or otherwise participates in the guest side of the Platform.
- Host — A user, couple, wedding representative, or authorized person who submits, manages, or approves guest requests for a wedding listing.
- Listing — A wedding, reception, celebration, or related event opportunity made available through the Platform.
- Seat Request — A request by a Guest to attend a Listing, subject to Host approval, verification, payment authorization, and Platform requirements.
- Monetary Contribution — The amount set or accepted by the Host for a confirmed Guest’s attendance or participation, excluding NAWC service fees, platform fees, payment processing fees, taxes, or other charges.
- Platform Fees — Fees retained by NAWC from amounts paid or collected through the Platform, including host-side platform fees and/or guest-side service fees disclosed at checkout or in the applicable flow.
- Confirmed Guest — A Guest who has been approved by a Host and has satisfied applicable verification, payment, and Platform requirements.
3. Eligibility and Account Requirements
You must be at least 21 years old to create an account, request a seat, list a wedding, or attend a wedding through the Platform. By using the Platform, you represent that you are at least 21 years old, have legal capacity to enter into these Terms, and are not prohibited from using the Platform under applicable law.
You agree to provide accurate, current, and complete information and to keep your account information up to date. You may not create an account using false information, impersonate another person, create multiple accounts to evade restrictions, or use the Platform for fraudulent, misleading, or unlawful purposes.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us promptly of any unauthorized access or suspected security issue.
4. NAWC’s Role as a Marketplace Platform
NAWC provides a technology marketplace that allows Hosts to submit wedding listings and allows Guests to request attendance opportunities. NAWC is not the owner, host, planner, promoter, organizer, operator, venue, caterer, travel provider, insurer, ticket seller, employer, agent, or representative of any Host, Guest, wedding, venue, or third party.
NAWC is not a party to any agreement, understanding, invitation, hospitality arrangement, or relationship between Hosts and Guests, except to the limited extent these Terms and applicable payment terms govern use of the Platform. Hosts and Guests are solely responsible for their decisions, representations, conduct, communications, and compliance with applicable laws, venue requirements, and event rules.
NAWC does not guarantee that any Listing will be available, accurate, lawful, safe, suitable, or successful; that any Host will approve a Seat Request; that any Guest will attend; that any wedding will occur as described; or that any interaction between users will meet expectations.
We may review, approve, reject, modify, pause, remove, or decline to publish any Listing, account, profile, request, message, or content at our discretion, including for safety, trust, quality, legal, brand, operational, or policy reasons.
5. Identity Verification, Screening, and Trust Measures
The Platform may require identity verification, selfie verification, payment verification, email verification, phone verification, social profile review, fraud screening, sanctions screening, or other trust and safety checks. These processes may be performed by NAWC or third-party service providers, including Stripe or other providers.
Verification is a risk-reduction tool only. It does not guarantee a user’s character, background, intentions, legal compliance, suitability, safety, financial reliability, or future conduct. NAWC does not endorse any user merely because that user has completed verification. Unless expressly stated in a specific Platform flow, NAWC does not conduct criminal background checks, credit checks, driving-record checks, health checks, or in-person screening.
We may deny, suspend, revoke, or require re-verification at any time. A user may be prevented from requesting seats, listing weddings, receiving payouts, attending events, or using the Platform if verification is incomplete, unsuccessful, expired, inconsistent, suspicious, or otherwise unacceptable to us.
You authorize NAWC and its service providers to collect, process, and use information you submit for verification, fraud prevention, safety, payment, compliance, and Platform operations as described in our Privacy Policy.
6. Wedding Listings and Host Responsibilities
Hosts are solely responsible for the accuracy, completeness, legality, and appropriateness of their Listings. Hosts must have the legal right and practical authority to invite Guests to the wedding or event described in a Listing, including any necessary approvals from the couple, wedding decision-makers, venue, planner, caterer, or other relevant parties.
Hosts must disclose material information reasonably necessary for Guests to evaluate a Seat Request, including date, general location, timing, attire, guest expectations, meal or beverage details, age restrictions, venue rules, accessibility considerations, and any event-specific restrictions.
Hosts must not submit Listings that are false, misleading, unlawful, discriminatory, exploitative, unsafe, unauthorized, or inconsistent with venue rules or third-party obligations. Hosts are responsible for ensuring that attendance by Confirmed Guests does not violate venue contracts, catering agreements, guest-count restrictions, insurance requirements, local law, or wedding-party expectations.
Hosts are responsible for reviewing Seat Requests and approving or declining Guests. Hosts may not discriminate in violation of applicable law. Hosts must honor Confirmed Guest approvals except where cancellation is reasonably necessary for safety, legal compliance, event cancellation, venue changes, extraordinary circumstances, or other legitimate reasons.
7. Guest Responsibilities
Guests are solely responsible for the information they provide, the accuracy of their profile, the content of Seat Requests, their decision to attend any wedding, and their conduct before, during, and after any event.
Guests must follow all Host instructions, venue rules, dress codes, arrival instructions, check-in procedures, seating guidance, photography restrictions, alcohol policies, privacy expectations, and other event-specific requirements. Guests must behave respectfully toward the couple, families, wedding party, vendors, venue staff, and other guests.
Guests are responsible for their own transportation, lodging, attire, health, safety, personal belongings, alcohol consumption, and expenses. Unless expressly stated in a Listing, NAWC does not provide travel, transportation, lodging, insurance, meals beyond what the Host identifies, or other event-related services.
Guests may not attend unless confirmed through the Platform. A Seat Request, payment method, verification status, or communication with a Host does not grant a right to attend unless the Guest is expressly approved and confirmed under the Platform process.
Guests may not bring any companion, plus-one, friend, family member, child, or other person to a Listing unless that person has been separately approved through the Platform and has completed all required account creation, verification, payment, waiver, policy acceptance, and confirmation steps. A Guest may not accept terms, waive claims, authorize payment, or provide consent on behalf of another adult unless NAWC expressly permits that process in writing.
8. Seat Requests, Approval, Confirmation, and Booking Lifecycle
The Platform may allow Guests to browse Listings, submit Seat Requests, complete required verification, provide payment information, and receive Host decisions. A Seat Request is not a confirmed booking unless and until all applicable conditions are satisfied, including Host approval, required verification, successful payment authorization or charge, and any other Platform requirements.
Hosts retain discretion to approve or decline Seat Requests. NAWC may also approve, decline, pause, or cancel requests or confirmations for trust, safety, payment, legal, operational, quality, or policy reasons.
The Platform may authorize a Guest’s payment method when the Seat Request is submitted. If the Host approves the Seat Request and all required Platform conditions are satisfied, the Platform may charge the Guest’s payment method for the applicable Monetary Contribution, guest service fee, taxes, payment processing charges, and other disclosed amounts. If payment fails, verification fails, or required steps are not completed, the Seat Request may expire or be canceled.
Confirmed Guests may receive event details only after confirmation and as determined by the Platform and Host. NAWC may require a confirmed Guest and any approved companion to complete a final event acknowledgment before receiving exact venue address, arrival procedures, host contact method, or other sensitive event details.
9. Fees, Platform Revenue, Payment Processing, and Taxes
NAWC may charge and retain fees for use of the Platform. These may include host-side platform fees deducted from amounts payable to Hosts, guest-side service fees charged to Guests at checkout, identity verification fees, payment processing fees, cancellation fees, administrative fees, or other charges disclosed through the Platform.
Hosts may set or approve the Monetary Contribution associated with a Listing or seat. NAWC may retain a platform service fee from each confirmed booking, such as a percentage of the Monetary Contribution or other amount disclosed to the Host. Guests may also pay a separate service fee at checkout. These fees compensate NAWC for operating, maintaining, securing, improving, marketing, and supporting the Platform.
All fees, charges, and estimated amounts will be displayed or disclosed before payment where required. Fee amounts, structures, timing, and calculation methods may change over time. Changes will apply prospectively unless otherwise stated.
Payment services are provided by third-party processors such as Stripe. By making or receiving payments through the Platform, you agree to comply with the applicable payment processor terms, onboarding requirements, identity requirements, payout requirements, fraud controls, and compliance obligations. NAWC is not responsible for delays, holds, reversals, reserves, payment processor errors, bank delays, chargebacks, or payment failures outside its reasonable control.
Unless expressly stated otherwise, Platform Fees are earned by NAWC when the applicable transaction, request, confirmation, or Platform service occurs and may be non-refundable except as required by law or as expressly provided in our cancellation or refund policies.
Users are responsible for all taxes, reporting obligations, and governmental charges arising from their use of the Platform, amounts received, amounts paid, or activities conducted through the Platform. NAWC may collect, report, withhold, or remit taxes where required by law, but does not provide tax advice. NAWC does not provide legal, tax, insurance, event-planning, alcohol-service, venue-compliance, safety, or risk-management advice. Hosts and Guests are responsible for obtaining their own advice where appropriate.
10. Cancellations, Refunds, No-Shows, and Event Changes
Guest Cancellation and Refund Disclosure
- If a Guest cancels before Host approval: no charge will be made, or any pending authorization will be released.
- If a Guest cancels after Host approval: the Guest’s refund, if any, will depend on the timing of cancellation and the event-specific refund policy shown at checkout.
- If a Guest does not attend, arrives late, fails verification, fails to follow arrival instructions, is denied entry for misconduct, or is removed for violating Host, venue, or NAWC rules, the Guest may not receive a refund.
- NAWC service fees may be non-refundable once a request is approved, except where required by law or expressly stated in the event-specific refund policy.
Host Cancellation and Event Change Disclosure
If the Host cancels the event, withdraws a Guest’s approved seat, or makes a material change that prevents the Guest from attending, the Guest may be eligible for a refund of the Monetary Contribution and certain fees, subject to applicable law and the event-specific policy.
NAWC does not control weddings, venues, Hosts, weather, family circumstances, vendors, illness, emergencies, or other conditions that may affect an event.
Material Changes
A material change may include a material change in location, cancellation of the wedding or reception, removal of the approved seat, or a significant change to the event that reasonably prevents attendance.
Minor changes to timing, schedule, seating, menu, attire guidance, vendor arrangements, parking, or event flow may not entitle a guest to a refund unless required by law or expressly stated in the event-specific policy.
Weddings are personal events and may be affected by weather, illness, family circumstances, venue issues, vendor issues, emergencies, or other changes. Users acknowledge that event details may change and that NAWC does not control the wedding or venue.
11. Payouts to Hosts
Host payouts are processed through the Platform’s payment processor and are subject to successful onboarding, identity verification, bank account validation, payment processor rules, chargeback risk, fraud monitoring, and compliance review.
NAWC may delay, withhold, offset, reverse, or condition payouts where permitted by law and where reasonably necessary to address refunds, cancellations, disputes, chargebacks, suspected fraud, safety issues, legal compliance, user complaints, or violations of these Terms. Additional payout timing, fee, refund, cancellation, hold, offset, and reversal terms may be displayed in the Host dashboard or applicable checkout, listing, or payout flow.
Hosts are responsible for ensuring payout information is accurate and current. NAWC is not responsible for failed or delayed payouts caused by incorrect bank information, processor restrictions, bank issues, incomplete onboarding, or legal/compliance holds.
12. Code of Conduct and Prohibited Activities
Our Code of Conduct is incorporated into these Terms. Violating the Code of Conduct is a violation of these Terms and may result in removal from an event, cancellation of a booking, forfeiture of amounts paid, suspension, termination, reporting to authorities, or other action.
You may not use the Platform to engage in harassment, threats, violence, discrimination, sexual misconduct, stalking, fraud, impersonation, spam, unauthorized solicitation, scraping, data harvesting, circumvention of fees, off-platform payment arrangements, illegal activity, unsafe conduct, intoxication-related misconduct, or conduct that undermines the privacy, dignity, or safety of weddings and participants.
You may not contact another user outside the Platform to avoid fees, bypass Platform rules, solicit direct payments, interfere with another user’s experience, or misuse information obtained through the Platform.
13. User Content, Listing Content, and Publicity
Users may submit profiles, photos, names, biographies, social links, wedding descriptions, venue descriptions, messages, reviews, testimonials, comments, and other content (“User Content”). You represent that you own or have the rights necessary to submit your User Content and that it does not violate law, privacy rights, intellectual property rights, venue rules, confidentiality obligations, or these Terms.
You retain ownership of your User Content. By submitting User Content, you grant NAWC a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to host, store, display, reproduce, modify, adapt, publish, distribute, promote, and otherwise use the content to operate, market, improve, and provide the Platform and related services.
NAWC may remove or modify User Content at its discretion. We are not obligated to monitor all content but may do so for trust, safety, quality, brand, legal, or operational reasons.
Hosts should not upload photos or information that violate the privacy rights of wedding participants, minors, guests, vendors, or venues. Guests may not publish private wedding details, addresses, photos, or personal information obtained through the Platform without appropriate permission.
14. Intellectual Property and Platform Restrictions
The Platform, including software, design, text, graphics, logos, trademarks, service marks, trade names, content, layout, and functionality, is owned by or licensed to NAWC and protected by applicable intellectual property laws.
You may not copy, reproduce, scrape, crawl, index, data mine, reverse engineer, modify, distribute, sell, lease, create derivative works from, or exploit the Platform or its content except as expressly permitted by NAWC. You may not use NAWC trademarks, names, logos, or brand assets without prior written permission.
You may not use bots, automated tools, or manual processes to access, collect, or extract Platform data; interfere with Platform operation; test system vulnerabilities; circumvent access controls; or overload our infrastructure.
15. Privacy, Communications, Email, and SMS
Your use of the Platform is subject to our Privacy Policy. By using the Platform, you acknowledge that we process information as described in the Privacy Policy.
You agree that NAWC may send you transactional emails, in-app messages, push notifications, and other communications related to your account, verification, listings, requests, payments, payouts, safety, support, policy updates, and event activity. You agree that agreements, notices, disclosures, confirmations, receipts, policy updates, event communications, and other records may be provided electronically, including through the Platform, email, SMS where consented, or other electronic means, subject to applicable law.
If you provide a phone number and consent to receive text messages, NAWC may send transactional SMS messages related to account and event activity. Message and data rates may apply. You may opt out of SMS where applicable by following the instructions provided, such as replying STOP, but opting out may affect your ability to receive time-sensitive account or event communications.
16. Third-Party Services and Links
The Platform may integrate with or link to third-party services, including payment processors, identity verification providers, analytics providers, communication tools, maps, social networks, hosting providers, and other vendors. Third-party services are governed by their own terms and privacy policies.
NAWC is not responsible for third-party services, websites, tools, content, outages, errors, delays, or practices. Your use of third-party services is at your own risk and may require you to agree to additional terms.
17. Assumption of Risk
You acknowledge that weddings and social gatherings involve inherent risks, including travel risks, transportation risks, venue conditions, food and beverage risks, alcohol consumption, illness, injury, theft, property loss, weather, emotional distress, interpersonal conflict, interactions with strangers, and actions or omissions of Hosts, Guests, vendors, venue staff, or other third parties.
You voluntarily assume all risks arising from your use of the Platform, submission or approval of Seat Requests, attendance at any Listing, travel to or from an event, interactions with other users, and reliance on information provided by users or third parties. NAWC does not control weddings, venues, transportation, vendors, weather, food service, alcohol service, or user conduct.
18. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAWC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, ACCURACY, AVAILABILITY, AND RELIABILITY.
NAWC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS; THAT LISTINGS OR USER CONTENT WILL BE ACCURATE; THAT USERS ARE WHO THEY CLAIM TO BE; OR THAT ANY WEDDING, HOST, GUEST, VENUE, OR EXPERIENCE WILL MEET YOUR EXPECTATIONS.
19. Release of Claims
To the maximum extent permitted by law, you release Caballo Ventures LLC, NAWC, and their affiliates, officers, directors, employees, contractors, agents, service providers, and representatives from claims, demands, damages, losses, liabilities, costs, and expenses arising out of or related to interactions, agreements, disputes, conduct, communications, cancellations, attendance, injuries, losses, property damage, or other matters between or involving users, Hosts, Guests, venues, vendors, or third parties.
If you are a California resident, you waive California Civil Code Section 1542, which provides that a general release does not extend to claims the releasing party does not know or suspect to exist in the releasing party’s favor at the time of executing the release and that, if known, would have materially affected the settlement with the released party.
20. Indemnification
You agree to defend, indemnify, and hold harmless Caballo Ventures LLC, NAWC, and their affiliates, officers, directors, employees, contractors, agents, service providers, and representatives from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to: (a) your use of the Platform; (b) your Listing, Seat Request, attendance, or event-related conduct; (c) your User Content; (d) your violation of these Terms, the Code of Conduct, or applicable law; (e) your violation of rights of another person or entity; (f) your tax obligations; or (g) disputes between you and another user, venue, vendor, or third party.
21. Limitation of Liability
To the maximum extent permitted by law, NAWC and its affiliates, officers, directors, employees, contractors, agents, service providers, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, lost profits, lost revenue, loss of goodwill, loss of data, personal injury, emotional distress, property damage, or business interruption arising out of or related to the Platform or these Terms, even if advised of the possibility of such damages.
To the maximum extent permitted by law, NAWC’s aggregate liability for all claims arising out of or related to the Platform or these Terms will not exceed the greater of: (a) the fees paid directly to NAWC by you during the twelve months before the event giving rise to the claim; or (b) one hundred dollars ($100).
22. Account Suspension, Termination, and Enforcement
We may investigate, suspend, restrict, or terminate accounts; remove content; pause or remove Listings; cancel Seat Requests; block payments or payouts; deny verification; or refuse service at any time if we believe conduct may violate these Terms, the Code of Conduct, law, safety expectations, payment processor rules, or Platform integrity. NAWC is not obligated to monitor all content, communications, listings, users, events, or conduct, and is not obligated to investigate every report or take any particular action. NAWC may determine the scope, timing, and outcome of any review in its discretion, subject to applicable law.
You may stop using the Platform at any time. Termination does not affect provisions that by their nature should survive, including fees owed, payment obligations, taxes, intellectual property, disclaimers, release, indemnification, limitation of liability, dispute resolution, and governing law.
23. Changes to the Platform or Terms
We may modify, suspend, or discontinue any part of the Platform at any time. We may update these Terms from time to time. If we make material changes, we may provide notice through the Platform, by email, or by updating the “Last Updated” date. Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.
24. Force Majeure
NAWC will not be liable for delays, failures, cancellations, outages, or non-performance caused by events beyond its reasonable control, including natural disasters, extreme weather, pandemics, public health events, governmental actions, war, terrorism, civil unrest, labor disputes, power failures, internet outages, payment processor issues, venue closures, vendor failures, or other events outside NAWC’s control.
25. Dispute Resolution, Arbitration, Class Action Waiver, and Governing Law
Please review this section carefully.
Informal Resolution First
Before initiating arbitration or filing a claim, you and NAWC agree to first attempt to resolve the dispute informally.
A party seeking to raise a dispute must send written notice describing the dispute, the relief requested, and contact information for the party asserting the dispute. Notices to NAWC must be sent to: Caballo Ventures LLC d/b/a Not a Wedding Crasher, 12463 Rancho Bernardo Rd 1016, San Diego, CA 92128, Email: hello@notaweddingcrasher.com.
The parties agree to make a good-faith effort to resolve the dispute for at least 30 days after notice is received. Either party may proceed with arbitration or another permitted proceeding if the dispute is not resolved within that period.
Agreement to Arbitrate
Except as stated below, you and NAWC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, any listing, seat request, booking, payment, cancellation, refund, user content, communication, event attendance, interaction with another user, or relationship with NAWC will be resolved by binding individual arbitration rather than in court.
This arbitration agreement applies to claims based in contract, tort, statute, fraud, misrepresentation, consumer protection law, privacy law, equity, common law, and any other legal theory, whether arising before or after the date you accepted these Terms.
Arbitration Provider and Rules
The arbitration will be administered by the American Arbitration Association (“AAA”) under the AAA Consumer Arbitration Rules then in effect, except as modified by these Terms.
If AAA is unavailable or unwilling to administer the arbitration, the parties will confer in good faith to select a substitute arbitration provider. If the parties cannot agree, a court of competent jurisdiction may appoint a substitute provider.
Seat, Location, and Remote Proceedings
The arbitration will be conducted in San Diego County, California, unless applicable law requires another location, the selected arbitration rules provide otherwise, or the parties agree to remote proceedings.
For consumer disputes, either party may request that the arbitration be conducted by video conference, telephone, or written submissions where permitted by the provider’s rules.
Small Claims Court
Either party may bring an individual claim in small claims court if the claim qualifies for small claims jurisdiction and remains in that court. If a claim is transferred, removed, or appealed to a court of general jurisdiction, either party may elect arbitration.
Exceptions to Arbitration
The following claims are not required to be arbitrated:
- individual claims that qualify for small claims court;
- claims seeking emergency injunctive relief based on exigent circumstances, including threats, violence, imminent harm, hacking, unauthorized access, or platform abuse;
- claims alleging actual or threatened infringement, misappropriation, or violation of copyrights, trademarks, trade secrets, patents, or other intellectual property rights;
- requests for public injunctive relief to the extent such requests may not lawfully be required to be arbitrated;
- claims that cannot be required to be arbitrated under applicable law; and
- at the election of the person asserting the claim, any case relating to a sexual assault dispute or sexual harassment dispute.
Class Action and Representative Action Waiver
To the maximum extent permitted by law, you and NAWC agree that each may bring claims against the other only on an individual basis.
You and NAWC waive the right to bring, join, participate in, or recover through any class action, class arbitration, collective action, consolidated action, private attorney general action, or representative proceeding, except where such waiver is prohibited by law.
The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that individual party’s claim.
Public Injunctive Relief
If a court determines that a claim for public injunctive relief may not be waived or required to be arbitrated, that claim will be severed and stayed pending completion of arbitration of the arbitrable claims, unless applicable law requires otherwise.
Mass Arbitration Procedures
If 25 or more similar arbitration demands are filed against NAWC by or with the assistance of the same law firm, coordinated group, organization, or counsel, or are otherwise coordinated, the parties agree that the demands may be treated as related mass arbitration demands.
In that event, the provider’s mass arbitration rules will apply if available. If no applicable mass arbitration rules are available, the parties will confer in good faith regarding staged proceedings, bellwether arbitrations, fee allocation, appointment of a process arbitrator, and procedures designed to promote efficiency and fairness.
Unless prohibited by applicable law, only a limited number of bellwether arbitrations will proceed first, and the remaining demands will be stayed pending completion of those bellwether proceedings and mediation.
Arbitration Fees
For consumer disputes, arbitration fees will be allocated according to the selected arbitration provider’s consumer rules and applicable law.
NAWC will pay arbitration fees it is required to pay under applicable law or the provider’s rules. Each party will be responsible for its own attorneys’ fees and costs unless applicable law, the arbitration rules, or the arbitrator’s award provides otherwise.
Authority of Arbitrator
Except as provided below, the arbitrator will have exclusive authority to resolve disputes regarding the interpretation, applicability, enforceability, formation, or scope of this arbitration agreement.
A court, not the arbitrator, will decide disputes regarding:
- whether the class action waiver is enforceable;
- whether a claim for public injunctive relief may proceed in court;
- whether a sexual assault or sexual harassment claim may be required to arbitrate;
- whether this arbitration agreement is invalid under a law that requires court determination; and
- whether claims may proceed on a class, collective, consolidated, representative, or private attorney general basis.
Jury Trial Waiver
If for any reason a dispute proceeds in court rather than arbitration, you and NAWC waive any right to a jury trial to the maximum extent permitted by law.
Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to NAWC within 30 days after you first accept these Terms.
Your opt-out notice must include your full name, email address associated with your NAWC account, and a clear statement that you wish to opt out of the arbitration agreement.
Opting out of arbitration will not affect any other part of these Terms.
Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
Survival
This arbitration agreement survives termination of your account, deletion of your account, completion of a booking, cancellation of a booking, changes to these Terms, and the end of your relationship with NAWC.
26. Miscellaneous
These Terms, together with the Privacy Policy, Code of Conduct, and any supplemental policies or disclosures, constitute the entire agreement between you and NAWC regarding the Platform. If any provision is found unenforceable, the remaining provisions will remain in effect. You may not assign these Terms without our prior written consent. NAWC may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law. Our failure to enforce a provision is not a waiver.
